Terms of Use

1. Who we are and what these Terms cover

These Terms of Use (the “Terms”) are issued by INVESTUDIO LTD, a private company limited by shares incorporated in the Republic of Cyprus under registration number HE 362494, with its registered office at Omirou 10, 3095 Limassol, Cyprus, and an office at 18 Efskiou Pefki, 3110 Limassol, Cyprus (“INVESTUDIO”, “we”, “us”, “our”).

The Terms govern your access to and use of the public website at https://investud.io, including its other language versions, its subdomains and all pages, publications and functions made available on it, such as the News section and the contact form (the “Website”).

The Terms do not govern the Investment Office software platform or any other product or service of INVESTUDIO. Descriptions of the Investment Office on the Website are for information only. Access to and use of the Investment Office are governed exclusively by a separate written customer agreement and the applicable end-user licence agreement (EULA) concluded with the relevant customer. The Terms also do not apply to websites operated by other companies of the INVESTUDIO group.

2. Acceptance of the Terms and eligibility

By accessing or using the Website, you confirm that you have read and understood the Terms and agree to be bound by them, together with the Disclaimer incorporated into them under Section 14. If you do not agree to the Terms, you must not use the Website.

The Website is intended for persons aged 18 or over. If you use the Website on behalf of a company or other organisation, you confirm that you are authorised to accept the Terms on its behalf, and “you” includes that organisation.

Certain provisions of the Terms apply differently depending on whether you use the Website as a consumer, that is, for purposes outside your trade, business, craft or profession, or as a business user. Where the Terms refer to a “consumer”, they mean a natural person acting in that capacity.

3. Territorial scope and restricted persons

The Website is operated from the Republic of Cyprus. It is not directed at any person in any jurisdiction where the publication of, or access to, its content would be contrary to local law or regulation, or where INVESTUDIO would become subject to any registration or licensing requirement as a result. If you choose to access the Website from any other location, you do so on your own initiative and are responsible for compliance with the laws applicable to you.

You must not access or use the Website if you are: (a) ordinarily resident in, located in, or organised under the laws of a country or territory that is the subject of comprehensive sanctions imposed by the European Union, the United Nations Security Council, the Republic of Cyprus, the United Kingdom or the United States; or (b) a person named on, or owned or controlled by a person named on, any sanctions list maintained by those authorities. We may restrict access to the Website from any location without notice.

4. Nature of the Website and its content

The Website is an informational resource. No services are provided, and no contract for the provision of services is concluded, through the Website. Any relationship between you and INVESTUDIO other than your use of the Website arises solely under a separate written agreement signed by both parties.

All content on the Website, including the pages describing corporate, hedge, family, and endowment fund structures and the Investment Office, is of a general nature. It does not constitute investment, legal, tax, accounting or other professional advice, and does not constitute an offer, solicitation or recommendation in relation to any financial instrument or service. The regulatory status of INVESTUDIO and the risks associated with investing are set out in the Disclaimer, which forms part of the Terms.

Content may be changed, supplemented or removed at any time without notice. Publications in the News section reflect the position at the date shown on them and are not updated thereafter unless expressly stated.

5. Communications and the contact form

The contact form, e-mail addresses and telephone numbers on the Website allow you to send us general enquiries. Sending an enquiry, or our response to it, does not create a client, advisory, fiduciary or other professional relationship between you and INVESTUDIO, and does not oblige us to respond, to act on your behalf or to keep any information you send confidential, save as required by applicable data-protection law. We may nevertheless choose not to respond to any enquiry.

Please do not send us confidential, sensitive or time-sensitive information through the Website, and do not send us instructions of any kind. Communications over the Internet are not guaranteed to be secure or to arrive on time. Any response we give is general information only and is subject to the Disclaimer.

Personal data you provide through the contact form is processed as described in our Privacy Policy. The contact form is protected by the Cloudflare Turnstile bot-detection service, which processes technical data about your browser; this is also explained in the Privacy Policy.

6. Permitted use and prohibited conduct

You may use the Website for your own personal or internal information purposes in accordance with the Terms. You must not:

• use the Website in any way that breaches applicable law or regulation or infringes the rights of any person;
• attempt to gain unauthorised access to the Website, the server on which it is hosted, or any connected system, database or account, or probe, scan or test the vulnerability of the Website or circumvent any security or authentication measure;
• introduce or transmit viruses, malware, spyware or any other harmful code, or take any action that imposes an unreasonable load on the Website’s infrastructure or interferes with its proper working;
• use robots, spiders, scrapers or other automated means to access, copy or monitor the Website or its content without our prior written consent, other than the indexing of publicly accessible pages by search engines in accordance with our robots.txt file;
• use the contact form to send unsolicited commercial communications, bulk messages or content that is unlawful, defamatory, abusive or misleading, or to impersonate any person or misrepresent your identity or affiliation;
• reproduce, frame, mirror, modify, distribute, sell, license or otherwise exploit the Website or its content except as expressly permitted by Section 7, or remove or alter any copyright, trade-mark or other proprietary notice on it;
• use the Website or its content to develop, train or improve any competing product, database or machine-learning model without our prior written consent.

We may investigate any suspected breach of this Section and take any action we consider appropriate, including restricting access under Section 13 and reporting the matter to competent authorities.

7. Intellectual property

The Website and all content on it, including text, publications, analyses, graphics, images, design elements, software and the selection and arrangement of the foregoing, are owned by INVESTUDIO or its licensors and are protected by copyright, trade-mark and other intellectual-property laws. All rights not expressly granted in the Terms are reserved.

“INVESTUDIO”, “Investment Office”, the INVESTUDIO logos and any other names, marks and logos of INVESTUDIO appearing on the Website are trade marks or trade names of INVESTUDIO or its group companies. Names and marks of third parties appearing on the Website belong to their respective owners. Their appearance does not imply any affiliation with, or endorsement by or of, INVESTUDIO.

You may view the Website and print extracts of its content for your personal or internal non-commercial use, provided that you do not modify them and that you retain all copyright and other proprietary notices. You may quote short excerpts of our publications for non-commercial purposes with clear attribution to INVESTUDIO and a link to the source page. Any other use, including commercial use, systematic downloading, republication or the creation of derivative works, requires our prior written consent.

If you send us comments, suggestions or other feedback about the Website, you grant us a non-exclusive, perpetual, royalty-free right to use it without any obligation to you.

8. Third-party content, links and services

The Website may contain links to third-party websites, services or social-media pages, including our pages on LinkedIn and Facebook, and uses certain third-party services, such as bot detection for the contact form. Such links and services are provided for convenience only. We do not control, endorse or assume any responsibility for the content, accuracy, availability, security or privacy practices of any third-party resource. Your use of third-party resources is at your own risk and is subject to their own terms and policies.

9. Availability, changes and security

We aim to keep the Website available, but we do not guarantee that it, or any part of it, will be available at any particular time or without interruption, error or delay. We may suspend, withdraw, restrict or change all or any part of the Website, for operational, technical, legal or business reasons, at any time and without notice.

We take reasonable measures to protect the Website, but we cannot guarantee that it will be free from viruses or other harmful components. You are responsible for configuring your own equipment and software and for using appropriate protective measures to access the Website.

10. Disclaimer of warranties

The Website and its content are provided free of charge, on an “as is” and “as available” basis. To the extent permitted by applicable law, we exclude all representations, warranties and conditions, express or implied, relating to the Website and its content, including any warranty of accuracy, completeness, timeliness, fitness for a particular purpose or non-infringement. Further provisions on the accuracy of information, the absence of advice and investment risks are contained in the Disclaimer.

If you are a consumer, this Section does not affect any right or remedy that applicable law grants you and that cannot be excluded or limited by agreement.

11. Limitation of liability

To the maximum extent permitted by applicable law, INVESTUDIO, the companies of its group and their respective directors, officers and employees shall not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with: (a) your access to, use of, or inability to use the Website; (b) any reliance placed by you on its content; (c) any decision made or action taken by you based on it; or (d) any interruption, suspension, error, omission, virus or unauthorised access affecting the Website.

Without limiting the foregoing, we shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, opportunity, goodwill or data, or for any investment loss, even if such loss was foreseeable.

Nothing in the Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence; or (d) any other liability which cannot be excluded or limited under applicable law. If you are a consumer, nothing in the Terms affects your mandatory statutory rights, and we remain liable for loss or damage that is a foreseeable result of our breach of the Terms or of our failure to use reasonable care and skill.

12. Your responsibility for breach

If you use the Website as a business user, you agree to compensate INVESTUDIO and its group companies for any loss, liability, cost or expense (including reasonable legal fees) reasonably incurred as a result of your breach of Sections 3, 6 or 7 of the Terms or of your use of the Website in breach of applicable law. If you are a consumer, you are liable for breach of the Terms only to the extent provided by applicable law.

13. Suspension and termination of access

We may restrict, suspend or terminate your access to the Website, in whole or in part, at any time and without notice if we reasonably believe that you have breached the Terms or that your use of the Website may expose us or others to legal or security risk. Sections 7, 10, 11, 12, 16 and 17 continue to apply after any termination of your access.

14. Relationship with other documents

The Disclaimer published on the Website forms an integral part of the Terms and has contractual effect between you and INVESTUDIO. In the event of any inconsistency between the Terms and the Disclaimer, the Terms prevail, except that the provisions of the Disclaimer on regulatory status, the absence of advice and investment risks prevail on those subjects.

Our Privacy Policy describes how we process personal data, and our Cookie Policy describes the storage technologies used on the Website. They are informational notices provided in compliance with data-protection law and are not part of the contract between you and INVESTUDIO; where they differ from the Terms on data-protection or cookie matters, they prevail.

The Investment Office platform is governed by the applicable customer agreement and EULA, which prevail over the Terms in respect of that platform.

15. Changes to the Terms

We may amend the Terms from time to time, for example to reflect changes in law, in the Website or in our activities. The current version, its number and its effective date are always shown on this page. Amendments take effect on the effective date stated; your use of the Website after that date is subject to the amended Terms. Amendments do not apply retrospectively.

16. Governing law and jurisdiction

The Terms, their subject matter and their formation, and any non-contractual obligations arising out of or in connection with them or with your use of the Website, are governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus shall have jurisdiction over any dispute arising out of or in connection with the Terms or the Website.

If you use the Website as a consumer habitually resident in a member state of the European Union or in another country whose law grants you such protection, you retain the protection of the mandatory provisions of the law of that country, and nothing in this Section deprives you of the right to bring proceedings, or to be sued only, in the courts of that country where applicable law so provides.

17. General provisions

Entire agreement. The Terms, together with the Disclaimer, constitute the entire agreement between you and INVESTUDIO concerning your use of the Website and supersede any prior understanding on that subject.

Severability. If any provision of the Terms is held to be invalid or unenforceable, that provision shall be applied to the maximum extent permitted, and the remaining provisions shall remain in full force.

No waiver. Our failure or delay in enforcing any provision of the Terms does not constitute a waiver of that provision or of our right to enforce it later.

Assignment. We may transfer our rights and obligations under the Terms to another company of the INVESTUDIO group or to a successor in business, provided that this does not adversely affect your rights. You may not transfer your rights or obligations under the Terms without our prior written consent.

Third parties. The companies of the INVESTUDIO group and their directors, officers and employees may rely on Sections 11 and 12. Otherwise, no person other than you and INVESTUDIO has any right to enforce the Terms.

Language. The Terms are drawn up in English. The Ukrainian version is provided for convenience. In the event of any inconsistency, the English version prevails, save where applicable mandatory law grants you the right to rely on the version in your own language.

Notices. Notices to INVESTUDIO under the Terms should be sent to the contact details in Section 18.
